1. Introduction and Acceptance of Terms

Welcome to VideoFlux, an AI-powered platform for generating professional videos and images from text descriptions and reference images. By accessing or using VideoFlux at videoflux.video, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, please do not use our service.

2. Description of Service

VideoFlux provides AI-powered content generation services, including:

AI Video Generation: Text-to-video, image-to-video, and reference-based video generation
AI Image Generation: Text-to-image and image-to-image transformation
Credit-Based Usage System: Consumption of credits for each generation task
Subscription Plans: Monthly and annual subscription options with varying credit allocations
Content Storage: Cloud storage for your generated videos and images

3. Eligibility and Account Requirements

3.1 Age Requirement

You must be at least 13 years of age (or the applicable age of digital consent in your jurisdiction) to use VideoFlux.

3.2 Account Creation

To access our services, you must:

Provide accurate and complete registration information
Maintain and promptly update your account information
Keep your account credentials confidential
Be responsible for all activities under your account
Notify us immediately at support@videoflux.video of any unauthorized access

3.3 Account Security

You are solely responsible for maintaining the security of your account. VideoFlux is not liable for any loss or damage arising from your failure to protect your account credentials.

4. Credits and Usage System

4.1 How Credits Work

Each AI generation task (video or image) consumes a specific number of credits based on the model, duration, resolution, and other parameters
Credits are non-transferable and have no cash value
Credit costs are displayed before you initiate any generation task

4.2 Credit Validity

Subscription Plans: Credits are allocated monthly/annually and expire at the end of each billing period. Unused credits do not roll over to the next period.
One-Time Purchases: Unless expressly stated otherwise at the time of purchase, one-time credits do not expire.

4.3 Credit Refunds

Credits consumed for successful generations are non-refundable
If a generation task fails due to our system error, credits will be automatically refunded to your account
Credits are not refunded for user errors (invalid prompts, inappropriate content, etc.)

5. Subscription Plans and Billing

5.1 Subscription Tiers

VideoFlux offers multiple subscription plans (Starter, Standard, Premium) with varying credit allocations, features, and pricing. Current plans and pricing are available at videoflux.video/pricing.

5.2 Billing Cycle

Monthly Plans: Billed monthly on the date you subscribed
Annual Plans: Billed annually with discounted pricing

5.3 Payment Processing

We use third-party payment processors (Stripe, Creem, PayPal) to process payments. By providing payment information, you:

Authorize us to charge the applicable fees to your payment method
Agree to the terms and conditions of the payment processor
Represent that you have the legal right to use the payment method

5.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription rate.

5.5 Price Changes

We may change subscription prices with at least 30 days' notice. Price changes will take effect at your next billing cycle. Your continued use after the price change constitutes acceptance of the new price.

5.6 Cancellation

You may cancel your subscription at any time from your account settings or through your payment provider's management portal
Upon cancellation, you will retain access to your subscription benefits until the end of the current billing period
After cancellation, your remaining credits will expire at the end of the billing period
No refunds will be provided for partial billing periods

5.7 Refund Policy

Subscription Fees and One-Time Purchases: All subscription fees and one-time credit purchases are non-refundable unless required by applicable law
Exceptional Circumstances: Refund requests may be considered on a case-by-case basis by contacting support@videoflux.video

6. Content and Intellectual Property

6.1 Your Generated Content

You retain all intellectual property rights to videos and images you generate using VideoFlux
You are solely responsible for your generated content and any consequences of sharing it
VideoFlux does not claim ownership of your generated content

6.2 License You Grant to Us

By using VideoFlux, you grant us a limited, worldwide, non-exclusive license to:

Store, process, and display your generated content to provide the service
Use anonymized, aggregated data from generations to improve our AI models
Display your content in your account dashboard and generation history

6.3 Your Input Content

For any reference images, prompts, or other content you provide:

You represent that you have the legal right to use such content
You grant VideoFlux a license to process your input content to generate your requested output

6.4 VideoFlux Intellectual Property

All aspects of the VideoFlux platform, including but not limited to:

The website design, user interface, and code
Our trademarks, logos, and branding
Our AI generation infrastructure and processes

...are owned by VideoFlux and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of our platform.

7. Acceptable Use and Prohibited Content

7.1 Permitted Uses

You may use VideoFlux only for lawful purposes and in accordance with these Terms.

7.2 Prohibited Content

You may not use VideoFlux to generate content that:

Violates any applicable law or regulation
Infringes on intellectual property rights of others
Contains illegal, harmful, or offensive material including:
- Child sexual abuse material (CSAM)
- Non-consensual intimate imagery
- Graphic violence or gore
- Hate speech or content promoting discrimination
- Harassment, threats, or bullying
Depicts identifiable individuals without their consent (deepfakes)
Is sexually explicit or pornographic
Promotes illegal activities, terrorism, or violence
Contains malware, viruses, or other harmful code
Is intended to mislead, defraud, or scam others

7.3 Prohibited Activities

You may not:

Use automated tools to abuse or overload our service
Attempt to circumvent usage limits or credit consumption
Share your account with others or create multiple accounts to abuse free credits
Reverse-engineer or attempt to extract our AI models
Resell or redistribute VideoFlux services without authorization
Interfere with the security or proper functioning of the service

7.4 Enforcement

We reserve the right to:

Review generated content for compliance with these Terms
Remove or disable access to content that violates these Terms
Suspend or terminate accounts engaged in prohibited activities
Report illegal content to appropriate authorities

User-submitted comments, prompts, uploads, and other content involving pornography, violence, fraud, scams, or other prohibited material may be removed without notice.

8. Content Storage and Data Retention

8.1 Storage Allocation

Paid Subscribers: Your generated content is stored on Cloudflare R2 with access throughout your active subscription period
Free Users: Generated content may be stored in temporary storage and subject to automatic deletion

8.2 Data Retention After Subscription Ends

After your subscription expires or is canceled, your generated content will be retained for 30 days
After the 30-day retention period, your content may be permanently deleted
To retain your content, you must download it before the retention period ends or renew your subscription

8.3 Account Deletion

Upon your request to delete your account:

Your personal information and generated content will be permanently deleted within 30 days
This action is irreversible

9. Disclaimers and Limitations of Liability

9.1 Service Availability

VideoFlux is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

Implied warranties of merchantability or fitness for a particular purpose
Warranties of uninterrupted or error-free service
Warranties regarding the accuracy or quality of AI-generated content

9.2 AI Generation Results

AI-generated content may not always meet your expectations
We do not guarantee specific outcomes, quality levels, or generation success rates
Generation results depend on various factors including prompt quality, model capabilities, and technical limitations

9.3 Third-Party Services

We rely on third-party AI providers, payment processors, and infrastructure services. We are not responsible for:

Failures or outages of third-party services
Changes to third-party pricing or availability
Data practices of third-party providers (subject to their own privacy policies)

9.4 Limitation of Liability

To the maximum extent permitted by law, VideoFlux and its affiliates, officers, directors, employees, and agents shall not be liable for:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Service interruptions or data loss
Damages arising from your use or inability to use the service
Any damages exceeding the amount you paid to VideoFlux in the 12 months preceding the claim

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless VideoFlux and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

Your use of VideoFlux services
Your generated content or input content
Your violation of these Terms
Your violation of any rights of third parties
Your violation of applicable laws or regulations

11. Copyright and DMCA

11.1 Copyright Infringement Reporting

If you believe that content on VideoFlux infringes your copyright, please send a notice to support@videoflux.video including:

Identification of the copyrighted work
Identification of the infringing material and its location
Your contact information
A statement of good faith belief that the use is unauthorized
A statement that the information is accurate and you are authorized to act on behalf of the copyright owner
Your physical or electronic signature

11.2 Counter-Notification

If you believe your content was wrongly removed, you may submit a counter-notification to the same email address.

12. Modifications to the Service and Terms

12.1 Service Changes

We reserve the right to:

Modify, suspend, or discontinue any aspect of VideoFlux at any time
Change credit costs, pricing, or subscription plans with notice
Add or remove AI models, features, or capabilities

12.2 Terms Changes

We may update these Terms from time to time. Changes will be effective:

Immediately upon posting for non-material changes
After 30 days' notice for material changes affecting your rights

Your continued use of VideoFlux after changes take effect constitutes acceptance of the modified Terms.

13. Termination

13.1 Termination by You

You may terminate your account at any time through your account settings. Upon termination:

You will lose access to your subscription benefits
Your data will be retained according to our data retention policy
No refunds will be provided for unused portions of your subscription

13.2 Termination by Us

We may suspend or terminate your access to VideoFlux at our sole discretion, without notice, if:

You violate these Terms or our Acceptable Use Policy
Your account is inactive for an extended period
We are required to do so by law
Continuing to provide service creates risk or liability for us or other users

13.3 Effect of Termination

Upon termination:

All licenses granted to you will immediately terminate
You must cease all use of VideoFlux
Provisions regarding intellectual property, disclaimers, limitation of liability, and indemnification will survive termination

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where VideoFlux operates, without regard to conflict of law principles.

14.2 Dispute Resolution

For any disputes arising from these Terms or your use of VideoFlux:

First, contact us at support@videoflux.video to seek informal resolution
If informal resolution fails, disputes may be resolved through binding arbitration in accordance with applicable laws
You agree to waive any right to a jury trial or to participate in a class action lawsuit

14.3 Exceptions

Either party may seek injunctive relief in court to prevent infringement of intellectual property rights or violations of these Terms.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VideoFlux regarding use of the service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

15.3 No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

15.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
